4. Scope of Services
The Company may offer, subject to availability and separate agreement, services in the fields of shipping, maritime logistics, freight brokerage, cargo services, vessel chartering, yacht charter services, vessel management, marine inspections, marine consultancy and related B2B maritime services. The description of services on the Website is indicative only; the precise scope of each engagement is defined in the applicable quotation, booking confirmation or agreement.
Where the Company acts as a broker or intermediary, it does so as agent only and does not itself become the carrier, vessel owner, operator or principal, unless expressly agreed in writing.
5. Shipping, Maritime Logistics and Cargo Services
Shipping, logistics and cargo services are performed in accordance with the applicable agreement, the terms of the relevant carriers and terminals, and applicable international conventions and mandatory law. The Customer is responsible for the accurate description, weight, packing, marking and documentation of cargo, and for compliance with export, import and customs requirements unless otherwise agreed.
The Company shall not be obliged to handle dangerous, prohibited or restricted goods unless expressly agreed in writing and properly declared.
6. Freight Brokerage
In freight brokerage, the Company arranges contact and negotiations between the Customer and third-party carriers, owners or operators. The contract of carriage is concluded between the Customer and the relevant third party. The Company is not liable for the performance of such third parties, save for its own proven negligence in the performance of its brokerage duties.
7. Vessel Chartering and Yacht Charter
Vessel chartering and yacht charter services are subject to a separate charter-party or charter agreement, which shall define the vessel, period, hire or freight, laytime, demurrage, trading limits and other terms. Any vessel descriptions provided prior to the charter agreement are for information only.
Yacht charter guests shall comply with the instructions of the master and crew and with all applicable safety, customs and immigration rules.
8. Vessel Management, Marine Inspections and Marine Consultancy
Vessel management, marine inspection and marine consultancy services are provided under a separate service agreement defining the scope, deliverables and fees. Inspection reports and consultancy opinions reflect the conditions observed and information available at the time and do not constitute a guarantee of the condition, value or performance of any vessel, cargo or project.
9. Quotes and Offers
Quotations are issued based on the information supplied by the Customer and prevailing market conditions. Unless stated otherwise, quotations are non-binding, valid for the period indicated and subject to vessel, space and equipment availability at the time of confirmation.
10. Service Agreements, Booking Confirmations and Charter Agreements
A binding contract arises only upon signature of a service agreement or charter-party, or upon written booking confirmation issued by the Company. The Customer shall review each confirmation promptly and notify the Company of any discrepancy without delay.
11. Invoices and Payment Obligations
The Company shall issue invoices in accordance with the applicable agreement. Unless otherwise agreed, invoices are payable in full within the period stated on the invoice, without set-off, deduction or counterclaim.
12. Deposits and Advance Payments
The Company may require a deposit or advance payment before commencing services, securing a vessel or booking third-party services. Services may be withheld until such payment is received in cleared funds.
13. Taxes, Fees and Currency
Prices are exclusive of VAT and other applicable taxes, duties, port charges and fees unless stated otherwise, and such amounts shall be borne by the Customer. Prices are stated in euro (EUR) unless another currency is agreed. Bank charges and currency conversion costs are borne by the Customer.
14. Late Payments
In the event of late payment, the Company may charge statutory or contractually agreed late-payment interest and recover reasonable collection costs, and may suspend performance until all overdue amounts are paid. The Company may exercise any lien available to it under applicable law.
15. Cancellation and Refunds
Cancellation terms, including any cancellation fees, are defined in the applicable quotation, booking confirmation or agreement. Where not so defined, the Customer shall compensate the Company for costs incurred and commitments made to third parties prior to cancellation. Refunds, where applicable, are made to the original payer less non-recoverable third-party costs.
16. Force Majeure
Neither party shall be liable for failure or delay in performance caused by circumstances beyond its reasonable control, including natural events, severe weather, war, hostilities, piracy, terrorism, sanctions, embargoes, strikes, epidemics, port closures, acts of authorities or failures of third-party infrastructure. Payment obligations for services already performed are not excused.
17. Vessel Availability, Port Restrictions, Weather and Delays
All services are subject to vessel and equipment availability. Port restrictions, congestion, draft limitations, authority requirements, weather and marine conditions may affect schedules. Dates and transit times are estimates only. The master of any vessel retains full authority over navigation and safety decisions. The Company shall not be liable for delays arising from such circumstances.
18. Third-Party Suppliers, Brokers and Agents
The Company may engage carriers, owners, operators, port agents, brokers, surveyors, terminals and other third parties. Such parties act under their own terms and conditions, and the Company is not liable for their acts or omissions except where expressly agreed in writing.
19. Customer Obligations
The Customer shall provide accurate, complete and timely information and documents, obtain all required permits and licences, comply with applicable laws, and pay all amounts due. The Customer is liable for losses arising from incorrect or incomplete information supplied by it.
20. AML/KYC, Sanctions and Prohibited Transactions
The Company may carry out customer due diligence in accordance with applicable anti-money-laundering and counter-terrorist-financing laws and may request identification and ownership information. The Company may refuse or terminate any engagement where due diligence cannot be completed satisfactorily.
The Customer warrants that neither it nor its beneficial owners, vessels, cargo or counterparties are subject to sanctions imposed by the European Union, the United Nations, the Republic of Latvia or other applicable authorities, and that no transaction will breach such sanctions. The Company will not participate in any transaction that is unlawful, sanctioned or otherwise prohibited and may terminate any agreement with immediate effect in such case.
21. Data Protection
Personal data is processed in accordance with the Company's Privacy Policy and the General Data Protection Regulation (EU) 2016/679.
22. Intellectual Property
All content on the Website, including text, images, graphics and layout, is owned by or licensed to the Company and protected by intellectual property law. No content may be reproduced or used for commercial purposes without prior written consent.
23. Confidentiality
Each party shall keep confidential all non-public commercial, technical and financial information received from the other party and shall use it only for the purpose of the engagement, except where disclosure is required by law or authorities.
24. Limitation of Liability
To the maximum extent permitted by law, the Company shall not be liable for indirect or consequential loss, loss of profit, revenue, business, contracts or goodwill. The Company's aggregate liability arising from any engagement shall not exceed the fees paid to the Company for the specific service giving rise to the claim, unless otherwise agreed in writing or required by mandatory law. Nothing in these Terms limits liability that cannot be limited by law.
25. Indemnification
The Customer shall indemnify and hold the Company harmless against claims, losses, fines and costs arising from the Customer's breach of these Terms or applicable law, from inaccurate information supplied by the Customer, or from the nature of the Customer's cargo.
26. Governing Law and Jurisdiction
These Terms and any non-contractual obligations arising from them are governed by the laws of the Republic of Latvia. Any dispute shall be submitted to the competent courts of the Republic of Latvia, unless the applicable agreement provides for another forum or arbitration.
27. Amendments
The Company may amend these Terms at any time by publishing the revised version on the Website. Amendments do not affect agreements already concluded, unless the parties agree otherwise.
28. Severability and Entire Agreement
If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force. These Terms, together with the applicable quotation, booking confirmation, charter-party or service agreement, constitute the entire agreement between the parties regarding their subject matter.
